1. Introduction

These Terms of Service ("Terms") govern your use of the RiskGen platform and services operated by Vindico ICS Ltd, trading as RiskGen ("we", "us", "our"). By creating an account or using our services, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, please do not use our services.

2. Service Description

RiskGen is an AI-powered platform that helps UK construction professionals generate Risk Assessments and Method Statements (RAMS). Our service includes:

• AI-assisted generation of risk assessments and method statements
• Document management and storage
• PDF export and sharing capabilities
• Template library and customisation tools
• Team collaboration features (on applicable plans)

3. Account Registration

To use RiskGen, you must create an account. You agree to:

• Provide accurate and complete registration information
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorised use of your account
• Accept responsibility for all activity that occurs under your account

You must be at least 18 years old and a business user (not a consumer acting outside the course of business) to create an account.

4. Subscription and Payments

RiskGen is available on a monthly subscription basis. Our current plans are:

• Starter: £19.99 per month
• Professional: £39.99 per month
• Business: £79.99 per month
• Agency: £149.99 per month

All prices are in pounds sterling (GBP) and inclusive of VAT where applicable. By subscribing, you agree to the following:

• Payments are processed securely by Stripe
• Subscriptions renew automatically each month on the same date you first subscribed
• You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing period
• We reserve the right to change our prices with 30 days' prior notice

5. Acceptable Use

You agree to use RiskGen only for lawful purposes. You must not:

• Use the service for any illegal or fraudulent activity
• Attempt to gain unauthorised access to our systems or other users' accounts
• Interfere with or disrupt the service or its infrastructure
• Reverse-engineer, decompile, or disassemble any part of our platform
• Use automated tools to scrape or extract data from our service
• Resell or redistribute our service without our written permission
• Upload content that is defamatory, obscene, or otherwise objectionable

6. Intellectual Property

Your Content: You retain full ownership of all RAMS documents and content you create using our platform. We do not claim any intellectual property rights over your generated documents. You grant us a limited licence to store, process, and display your content solely to provide the service to you.

Our Platform: The RiskGen platform, including its software, design, branding, templates, and all associated intellectual property, is owned by Vindico ICS Ltd. You may not copy, modify, distribute, or create derivative works from our platform without our express written consent.

7. AI-Generated Content Disclaimer

RiskGen uses artificial intelligence to assist in generating RAMS documents. It is essential that you understand and accept the following:

• AI-generated content is a starting point, not a finished product. All RAMS documents must be reviewed, verified, and approved by a competent person with appropriate qualifications and experience before use on any construction site.
• You are responsible for the accuracy and completeness of all RAMS documents produced using our platform. RiskGen does not guarantee that AI-generated content will be error-free, complete, or suitable for any specific project or circumstance.
• RiskGen does not replace professional health and safety advice. Our service is a productivity tool. You remain solely responsible for compliance with all applicable health and safety legislation, including the Health and Safety at Work etc. Act 1974, the Construction (Design and Management) Regulations 2015, and all other relevant regulations.
• AI limitations: Artificial intelligence can produce inaccurate, incomplete, or inappropriate content. It is your duty to ensure all documents are fit for purpose before relying on them.

By using our service, you acknowledge that RiskGen shall not be liable for any loss, injury, or damage arising from reliance on AI-generated content without proper professional review.

8. Limitation of Liability

To the fullest extent permitted by law:

• Our total liability to you for any claims arising from or related to these Terms or your use of the service shall not exceed the total fees paid by you to us in the 12 months preceding the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
• We shall not be liable for any loss or damage resulting from your failure to review and verify AI-generated RAMS documents.
• We shall not be liable for any temporary unavailability of the service due to maintenance, updates, or circumstances beyond our reasonable control.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be lawfully excluded or limited.

9. Indemnification

You agree to indemnify and hold harmless Vindico ICS Ltd, its directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the service, your breach of these Terms, or your violation of any applicable law or regulation.

10. Service Availability

We aim to provide a reliable and continuous service, but we do not guarantee uninterrupted access. We may suspend or restrict access to the service for maintenance, updates, or other operational reasons. Where reasonably possible, we will provide advance notice of planned downtime. We shall not be liable for any loss arising from service interruptions.

11. Termination

Either party may terminate this agreement:

• You may cancel your subscription at any time through your account settings. Your access will continue until the end of your current billing period.
• We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or fail to pay subscription fees.

Upon termination, you may request an export of your RAMS documents within 30 days. After this period, we may permanently delete your data in accordance with our Privacy Policy.

12. Data Protection

We process personal data in accordance with our Privacy Policy and applicable UK data protection law. By using our service, you acknowledge that you have read and understood our Privacy Policy.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice on our website at least 30 days before the changes take effect. Your continued use of the service after the effective date of any changes constitutes your acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. 15. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and us regarding the service.

• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
